CoUnwrap

Terms of Service

Last updated: 3 October 2026

Please read these Terms carefully. They explain how the CoUnwrap corporate gifting marketplace works and set out the rights and responsibilities of Brands, Buyers and CoUnwrap.

1. About these terms

These Terms of Service (“Terms”) form a binding agreement between you and [Registered company name] (“CoUnwrap”, “we”, “us”), which operates the CoUnwrap website, Brand Portal and Customer Portal (together, the “Platform”). By creating an account or using the Platform, you accept these Terms and our Privacy Policy. If you use the Platform for an organisation, you confirm that you are authorised to bind that organisation, and “you” includes it.

These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it, and do not need a physical or digital signature.

2. What the Platform does

CoUnwrapis an online marketplace. It lets corporate buyers (“Buyers”) discover products from independent brands and makers (“Brands”), build single-brand or multi-brand gift hampers, request quotes, and place orders. Brands can also team up to offer collaborative gifting sets.

Unless we say otherwise for a specific product or service, the contract for the sale of goods is between the Buyer and the Brand. CoUnwrapis an intermediary that provides the technology, plus the packaging options and other services described on the Platform. It is not the seller of Brands' products.

3. Eligibility and accounts

  • You must be at least 18 and able to enter into a binding contract under Indian law.
  • Information you give us must be accurate, current and complete, and you must keep it updated. Use a work email address you control.
  • You are responsible for keeping your password confidential and for all activity on your account. Tell us immediately at rahul@counwrap.com if you suspect unauthorised access.
  • Brand accounts and Buyer accounts are separate. Each account may only be used for its own portal.

4. Terms for Brands

Verification.New Brands start as “pending”. You must give accurate business details and documents (such as GST, PAN, bank and address proof). Only verified Brands appear in the catalogue. We may refuse, suspend or revoke verification at our discretion, for example if information is false or these Terms are breached. Suspended Brands keep their data but are hidden from the catalogue and cannot receive new orders.

Listings. You are solely responsible for your listings: names, descriptions, images, prices, minimum order quantities, stock levels and any claims, such as eco-friendly labels. Listings and later edits may be reviewed before they go live, and we may reject, edit for formatting, or remove any listing. You warrant that your products are genuine, safe, lawfully made and labelled, and comply with all applicable law, including the Legal Metrology Act, 2009, FSSAI rules for food items, and the Bureau of Indian Standards (BIS) requirements. You also warrant that you hold the rights to all content you upload, including trademarks and images.

Quotes and orders. When a Buyer requests a quote, you may accept it, reject it, or send a counter-proposal. A quote you accept is a binding offer at the agreed price and quantity. You must fulfil accepted orders on time, keep your order status accurate (processing, shipped, delivered), and keep stock levels current so that orders are not oversold.

Platform fees. Each Brand gets an introductory number of orders with no platform fee, as shown in your account or agreed with us in writing. After that, a platform fee (a percentage of the order subtotal) applies to each order, at the rate shown in your account or agreed in writing. We may change fees for future orders with at least 30 days' notice. Fees are exclusive of applicable taxes, including GST.

Collaborative gifting sets. When you join a set with other Brands, each Brand is responsible for its own products in that set. Changes to an active set need the approval of the participating Brands, as the Platform describes. Any participant may deactivate a set immediately.

Staff assistance. You authorise our staff to access your account to verify, review and support it, including temporary, logged sign-ins to your Brand account to help you, as described in our Privacy Policy.

5. Terms for Buyers

Quotes. A cart with products from several Brands creates a separate quote for each Brand. Each Brand responds independently, and an accepted quote from one Brand can be ordered without waiting for the others.

Orders. An order is placed against one Brand's accepted quote. The order total includes the agreed product price, any packaging you choose (packaging is priced and supplied by CoUnwrap), and applicable taxes, all shown before you confirm. Placing an order is a commitment to pay those amounts on the payment terms shown at checkout or agreed in writing.

Delivery. You must give accurate delivery addresses, including any gift recipients' details, and confirm that you are allowed to share them. Delivery dates are estimates. Failed deliveries caused by incorrect address information may incur extra charges.

Cancellations, returns and refunds.Delivered and cancelled orders are final on the Platform. Before delivery, contact us to request a cancellation. Whether a cancellation is possible, and any charges for it, depend on the order's stage and the Brand's policy. Goods that arrive damaged, defective or not as described must be reported, with photos, within 48 hours of delivery. We will work with the Brand on a replacement, refund or other fair resolution. Personalised, perishable or custom-packed items cannot be returned except for defects. Approved refunds are made to the original payment method within a reasonable time.

6. Pricing, taxes and payments

Prices are in Indian Rupees (INR). Unless stated otherwise, they are exclusive of GST and other applicable taxes, which are added at checkout. Minimum order quantity pricing applies as listed or as agreed in a quote. Payments may be processed by third-party payment providers on their own terms. CoUnwrap does not store full card details. Obvious pricing errors may be corrected, and affected orders cancelled with a full refund of any amount paid.

7. Acceptable use

You agree not to:

  • List or buy goods that are illegal, counterfeit, unsafe or restricted, or that infringe anyone's rights.
  • Give false information, impersonate anyone, or create accounts by automated means.
  • Arrange transactions for buyers or brands you met through the Platform outside the Platform to avoid fees.
  • Scrape, copy or harvest data from the Platform, or interfere with, overload, probe or reverse-engineer it, or bypass its security or rate limits.
  • Upload malware, or send spam or abusive, defamatory or obscene content, including in quote messages.
  • Use the Platform in breach of any applicable law.

8. Content and intellectual property

The Platform, including its software, design, logos and the CoUnwrap name, is owned by us or our licensors. You keep ownership of content you upload, such as listings, images and messages. You grant us a non-exclusive, royalty-free, worldwide licence to host, reproduce, resize, display and distribute that content to operate and promote the Platform for as long as it is on the Platform, and for a reasonable time afterwards for backups and records. If you believe content on the Platform infringes your rights, email rahul@counwrap.com and we will act on valid notices as the law requires.

9. AI-assisted features

Some features may use automated or AI-assisted tools, such as gift pack suggestions, budget optimisation or analytics. Their output is a suggestion only and may contain errors. Check prices, quantities and product details before you rely on them. Final quotes and orders are always governed by the agreed quote.

10. Disclaimers

The Platform is provided “as is” and “as available”. To the extent the law allows, we make no warranties, express or implied, about the Platform or about any product sold by a Brand, including merchantability, fitness for a particular purpose or uninterrupted availability. Brands are solely responsible for the quality, safety, legality and description of their products.

11. Limitation of liability

To the extent the law allows, CoUnwrap is not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill. Our total liability for any claim arising from the Platform or these Terms is limited to the greater of (a) the platform fees and packaging charges you paid us in the 6 months before the claim and (b) ₹10,000. Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnity

You agree to indemnify and hold harmless CoUnwrap and its officers, employees and partners against claims, losses, penalties and costs (including reasonable legal fees) arising from your breach of these Terms or of the law, from your content or listings, or, for Brands, from the products you supply.

13. Suspension and termination

You may stop using the Platform and ask us to close your account at any time. Open quotes and orders must still be completed or cancelled under these Terms. We may suspend or terminate access, or remove content, if you breach these Terms, if we are required to by law, or to protect users or the Platform. Sections that by their nature should survive termination will survive, including fees owed, content licences for records, disclaimers, limitation of liability, indemnity and governing law.

14. Changes to these terms

We may update these Terms from time to time. The “Last updated” date shows the latest version. We will give registered users notice of material changes by email or on the Platform. If you keep using the Platform after the changes take effect, you accept them.

15. Governing law and disputes

These Terms are governed by the laws of India. We will first try to resolve any dispute informally through our Grievance Officer. Any dispute that is not resolved within 30 days will be subject to the exclusive jurisdiction of the courts at [City], India. This does not affect any mandatory rights consumers may have under the Consumer Protection Act, 2019.

16. Contact and Grievance Officer

In line with the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020, you can raise complaints with our Grievance Officer. We will acknowledge complaints within 48 hours and aim to resolve them within one month.
